1. Definitions
"Service" refers to the business consulting services offered by Meridian, including Organizational Clarity Audits, Financial Strategy Consultations, and Succession Planning Frameworks. "User" or "You" refers to any individual or entity accessing our website or engaging our services. "We," "Us," or "Our" refers to Meridian, operating from Kaohsiung, Taiwan. "Agreement" refers to these Terms and Conditions together with any engagement-specific terms agreed upon in writing. "Content" refers to all text, data, materials, and intellectual property available through our website and services.
2. Acceptance of Terms
By accessing our website or engaging our consulting services, you confirm that you accept these Terms and Conditions and agree to comply with them. If you do not agree, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into binding agreements in order to use our services.
3. Service Description
Meridian provides business consulting services focused on organizational structure, financial strategy, and succession planning for businesses in Taiwan and the wider Asia-Pacific region. Our services are delivered through interviews, document analysis, workshops, and written deliverables as outlined in individual engagement agreements. Service availability may vary and is subject to consultant capacity.
4. User Responsibilities
When using our website, you agree to provide accurate information in all forms and communications, use our website only for lawful purposes, not attempt to interfere with the website's operation or security, not copy, reproduce, or redistribute our content without prior written consent, and respect the confidentiality of any proprietary methodologies or materials shared during engagements.
5. Intellectual Property
All content on this website — including text, design, graphics, logos, and proprietary methodologies — is the property of Meridian or its licensors and is protected under Taiwan's Copyright Act and international intellectual property laws. Clients receive a limited, non-exclusive license to use deliverables produced during their engagement for internal business purposes only. This license does not transfer ownership of any underlying methodologies, frameworks, or intellectual property.
6. Payment Terms
Consulting fees are denominated in New Taiwan Dollars (NT$) and are outlined in each engagement agreement. Payment terms, including deposit requirements and payment schedule, will be specified in the engagement letter. We accept bank transfers and other payment methods as agreed. Fees are inclusive of the full scope of work described in the engagement agreement, and no additional charges will be applied without prior written consent.
7. Service-Specific Terms
Each consulting engagement is governed by an individual engagement letter that specifies scope, timeline, deliverables, and fees. In the event of any conflict between these general Terms and a signed engagement letter, the engagement letter will take precedence. Changes to engagement scope require written agreement from both parties. Cancellation terms are outlined in individual engagement agreements.
8. Confidentiality
Both parties agree to maintain the confidentiality of information shared during the course of an engagement. Meridian will not disclose client information to third parties without prior written consent, except where required by law. Additional confidentiality protections may be established through separate non-disclosure agreements signed at the commencement of each engagement.
9. Disclaimers
Our consulting services are provided on an advisory basis. While we strive to provide well-researched, thoughtful recommendations, Meridian does not promise specific business outcomes, financial returns, or organizational improvements. Our observations and deliverables are based on the information available to us at the time of the engagement. We are not a substitute for legal, tax, or financial advisory services, and we encourage clients to seek appropriate professional counsel for such matters.
10. Limitation of Liability
To the fullest extent permitted by law, Meridian's total liability for any claims arising from or related to our services shall not exceed the total fees paid for the specific engagement in question. We shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services or website. This limitation applies regardless of the legal theory under which liability is claimed.
11. Indemnification
You agree to indemnify and hold Meridian, its consultants, and affiliates harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of our deliverables, or any third-party claims related to your use of our services beyond the agreed scope.
12. Termination
Either party may terminate an engagement in accordance with the terms specified in the engagement letter. Upon termination, all fees for work completed to date are due and payable. Obligations regarding confidentiality, intellectual property, and limitation of liability survive termination of the engagement and these Terms.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the matter, disputes shall be submitted to the jurisdiction of the courts in Kaohsiung City, Taiwan.
14. General Provisions
These Terms, together with any signed engagement letters, constitute the entire agreement between you and Meridian regarding the subject matter herein. If any provision is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision does not constitute a waiver of that provision. Meridian may not assign its obligations under these Terms without your consent, except in connection with a merger, acquisition, or sale of substantially all assets.
15. Changes to These Terms
We reserve the right to update these Terms periodically. Changes will be posted on this page with a revised date. Your continued use of our website or services following any changes constitutes acceptance of the updated Terms. For material changes affecting existing engagements, we will provide direct notification.
